TERMS & conditions
1. Scope of Work
All projects undertaken by Light Spark Group ("The Company") will commence only after the client has signed a Statement of Work (SoW). The SoW outlines the specific services, timelines, and deliverables agreed upon between The Company and the client.
2. Payment Terms
Payment terms, including the total project cost, deposit requirements, and payment schedule, will be specified in the SoW. Work will only begin once these terms have been reviewed, accepted, and agreed upon by both parties in writing.
Payments are due as per the schedule set forth in the SoW, and delays in payment may result in a delay of services or a suspension of ongoing work until the account is brought up to date.
3. Confidentiality and Intellectual Property
Both parties agree to keep all sensitive information confidential and use it solely for purposes directly related to the project as outlined in the SoW.
Intellectual property developed during the project shall be governed by the terms outlined in the SoW. Typically, final deliverables become the property of the client upon full payment, while The Company retains the rights to any background IP used to create the deliverable.
4. Amendments and Revisions
Any amendments or revisions to the SoW must be mutually agreed upon in writing. Additional work outside the original SoW may incur additional charges, which will be discussed and agreed upon prior to commencement.
5. Termination of Services
Either party may terminate the agreement with written notice if there is a material breach of the terms or failure to perform as agreed in the SoW. In the event of termination, the client is responsible for payment of work completed up to the date of termination.
6. Liability
Light Spark Group shall not be liable for any indirect, special, or consequential damages arising from or related to the services provided. The Company’s total liability shall be limited to the fees paid for the services rendered.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
